BCSB Bankcorp serves as the holding company of Baltimore County Savings Bank.

BCSB Bankcorp, Inc. has not yet been incorporated. It will be incorporated under Federal law in connection with the consummation of the Reorganization and Stock Issuance at the direction of the Board of Directors of the Bank for the purpose of serving as a savings institution holding company of the Bank upon the acquisition of all of the capital stock issued by the Bank in the Reorganization. The Company has received approval from the OTS to acquire control of the Bank, subject to satisfaction of certain conditions. Prior to the consummation of the Reorganization and Stock Issuance, the Company has not engaged and will not engage in any material operations.
