The Company was formed to acquire all of the Bank's issued and outstanding stock and to engage in the business of a bank holding company under the Bank Holding Company Act of 1956, as amended (the 'Act'). In connection with the formation of the Company, during 1993 the Company sold 741,346 shares of its Common Stock at a price of $9.09 per share. As of December 31, 1996, the Company sold an additional 303,578 shares of its Common Stock at a price of $9.09 per share to its shareholders pursuant to a rights offering.
