NewAlliance Bancshares, Inc. is a Delaware business corporation that we organized in 2003 in connection with the conversion of New Haven Savings Bank from mutual to capital stock form. NewAlliance Bancshares has had no operations to date and has never issued any capital stock prior to this offering. NewAlliance Bancshares has filed an application with the Board of Governors of the Federal Reserve System to become a bank holding company.
